Terms of Service

Acceptance of these terms
This website is operated by Heritage Platform Group, Inc. (“Heritage,” “we,” or “us”). By using the site, or by enrolling in or paying for any program we offer, you agree to these Terms of Service and to our Privacy Policy. If you do not agree, please do not use the site.
Who may use the site
You may use the site if you are at least 18 and able to enter a binding agreement. If you use it for a company, you confirm you have authority to accept these terms on its behalf.
What this site is
The site tells you about Heritage and offers free tools and materials, such as the Scorecard, the Owner’s Field Guide, and the Deal Navigator, and it offers paid programs such as programs, cohorts, coaching, and the Sparring Room. Some parts are free; some require payment or enrollment.
The tools help you prepare. They are not advice.
Some tools use artificial intelligence to draft a result for you. A Scorecard read or a Deal Navigator document is an automated draft. It may be wrong or incomplete, and it is general information only. Using a tool does not create an advisory, brokerage, fiduciary, or client relationship with us, and you are responsible for any decision you make.
Nothing here is professional advice
Nothing on this site, and nothing taught in a program, is investment, legal, tax, or accounting advice, and nothing here is an offer or solicitation to buy or sell any security or business. Speak with your own qualified advisors before you act. If we take you on as a client, that work is governed by a separate written agreement, not by this site.
Enrollment and access
When you enroll in or purchase a program, we grant you a personal, non-transferable right to take part for the stated term or session. Seats are for you alone. You may not share, sell, or transfer your access, and you may not enroll on behalf of someone who has been removed from a program.
Payment, billing, and taxes
Prices for paid programs are shown at the point of purchase. By purchasing, you authorize us and our payment processor to charge your chosen payment method for the amount shown, plus any applicable taxes. You are responsible for keeping your payment details accurate.
Refunds and cancellations
Refund and cancellation terms for each program are stated at the time of purchase and form part of these terms. Because live cohorts and Sparring Room sessions have limited seats and begin on set dates, they may be non-refundable once the program starts or once a session is missed, except where the law requires otherwise. Scheduled coaching sessions that are missed or cancelled on short notice may be charged or non-refundable, as stated when you book.
Subscriptions and automatic renewal
If a program is offered on a recurring basis, we will tell you the price, the billing interval, and how to cancel before you buy. Recurring plans continue and renew at the then-current price until you cancel, and you can cancel at any time to stop future charges.
Programs, coaching, cohorts, and the Sparring Room
Live programs run on a schedule. We may change the schedule, format, or instructor, or reschedule or combine sessions, and we will give reasonable notice when we do. We expect participants to take part respectfully and in good faith. We may remove anyone whose conduct disrupts a session or harms other participants, and removal for cause may not be refundable.
Live-Deal Coaching is booked for a set time. It prepares you to handle your own negotiation or decision. It is not representation, brokerage, or advice, and you remain responsible for what you choose and do. We keep what you share in a coaching session confidential, and we treat your deal information with care. If you need to move or cancel a session, please give us reasonable notice.
Recording and consent
Sparring Room and other live sessions may be recorded for your scored debrief, for quality, and for training our team. By taking part, you consent to being recorded. Recordings belong to Heritage. We will not use your recording to train artificial-intelligence systems without your separate written consent. You may not record, copy, stream, or share a session or its recording yourself.
Our intellectual property
The site, the Heritage name and marks, the method, the program and program materials, and everything on the site belong to Heritage or our licensors, and are protected by law. When you enroll, we give you a limited, personal license to use the materials for your own learning during your enrollment. You may not copy, record, republish, sell, rent, or redistribute them, teach the method as your own, or use them to build a competing program or offering, without our written permission. Free materials such as the Field Guide are licensed for your own use, not for resale.
Feedback
If you send us ideas or feedback, you agree we may use them to improve our work without any obligation to you.
Acceptable use
Use the site lawfully and in good faith. You agree not to: access it by automated means such as scraping or bots; probe, scan, or test its security; reverse engineer or copy how it works; interfere with or disrupt it; impersonate anyone or misrepresent your affiliation; or use it to send or store anything unlawful, infringing, or harmful. We may suspend access that breaks these rules.
Third-party links and services
The site links to and relies on services we do not control, including the calendar we use to schedule calls and the processor we use for payments. We are not responsible for third-party content, practices, or availability, and your use of those services is governed by their own terms and policies.
Copyright complaints
We respect intellectual property rights. If you believe material on the site infringes your copyright, email us at info@heritageplatformgroup.com with enough detail to identify the work and the material, and we will review it.
No warranties
The site, its tools, and our programs are provided on an “as is” and “as available” basis, without warranties of any kind, express or implied, to the fullest extent the law allows. We do not warrant that the site will be uninterrupted, secure, or error free, that any result it produces will be accurate or suitable for your situation, or that a program will produce any particular outcome.
Limitation of liability
To the fullest extent the law allows, Heritage, its owners, and its team will not be liable for any indirect, incidental, special, or consequential damages, or for lost profits or lost opportunities, arising from your use of the site, its tools, or our programs, even if the possibility of such damages was known. Some places do not allow certain limitations, so parts of this may not apply to you.
Indemnification
You agree to cover our reasonable losses if they arise from your misuse of the site or a program, your breach of these terms, or your violation of the law or the rights of others.
Termination
You may stop using the site at any time. We may suspend or end your access to the site or a program if you breach these terms or the law, or to protect the site or other participants. Sections that by their nature should survive, such as intellectual property, disclaimers, limitation of liability, and indemnification, survive the end of your access.
Governing law and disputes
These terms are governed by the laws of the State of California, without regard to its conflict of laws rules. Before starting any formal dispute, you agree to contact us first so we can try to resolve it.
Assignment
You may not assign these terms without our written consent. We may assign them, for example in connection with a merger, acquisition, or sale of assets.
Events beyond our control
We are not responsible for any failure or delay caused by events beyond our reasonable control.
Electronic communications
By using the site, you agree that we may communicate with you electronically, and that our electronic notices satisfy any legal requirement that a communication be in writing.
Changes
We may update the site, our programs, and these terms. When we change the terms, we will update the date above. If you keep using the site after a change, you accept the updated terms.
The rest of the fine print
If any part of these terms is found unenforceable, the rest stays in effect. Our failure to enforce a provision is not a waiver of it. Section headings are for convenience only. These terms and our Privacy Policy, together with any terms shown at the time of purchase, are the entire agreement between you and us about your use of the site and our programs.
